The shares of SLC Agrícola grant their holders the following rights:
- the right to vote at the Company’s General Shareholders’ Meetings;
- the right to receive the mandatory minimum dividend, in each fiscal year, equivalent to 25.0% of adjusted net income pursuant to Article 202 of the Brazilian Corporate Law;
- in the event of a sale, whether direct or indirect, through a single transaction or multiple transactions, shareholders holding common shares have the right to sell their shares under the same conditions and for the same price as the controlling shareholders who are selling (100% tag-along right);
- in the event of deregistration as a publicly held company or delisting from the Novo Mercado segment of BM&FBOVESPA, minority shareholders have the right to sell their shares in a public tender offer to be launched by the Controlling Shareholders, at the respective economic value determined through an appraisal report prepared by an independent and specialized firm with proven experience, selected by a shareholders’ meeting of holders of outstanding shares, from a triple list presented by the Board of Directors. The costs of preparing said report must be fully borne by the Controlling Shareholders;
- all other rights granted to the Shares under the terms of the BM&FBOVESPA Novo Mercado Rules, the Bylaws of SLC Agrícola, and the Brazilian Corporate Law.

The provision of the bookkeeping service for SLCE3 shares was transferred on July 7, 2025 from ITAÚ CORRETORA DE VALORES S.A. (“Itaú” or “Former Bookkeeper”) to BTG PACTUAL SERVIÇOS FINANCEIROS S.A. DTVM (“BTG” or “New Bookkeeper”), as per Notice to the Market published by the Company on June 30, 2025.
In this context, shareholders who maintained a position in the Company’s shares throughout 2025 will receive two Income Reports corresponding to the periods before and after the transfer of the bookkeeping service, which are complementary for the Income Tax return.
However, Banco Itaú only issues the income report to those who have received any proceeds. If you acquired shares after the payment of dividends and/or interest on equity, you will not receive any information.
